Todelle provides software tools designed to assist real estate investors and property operators with property analysis, investment calculations, and portfolio organization. Our Services include, but are not limited to:

• Investment calculators and scenario modeling tools

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice.

The calculations, estimates, projections, and outputs generated by our Services are based on information you provide and general formulas. Some of our Services may require you to create an account. You are responsible for:

The Services and all content, features, and functionality thereof — including but not limited to software, text, graphics, logos, and the design and compilation thereof — are the exclusive property of Todelle LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. This license does not include the right to:

• Reproduce, distribute, or publicly display any content from the Services
• Modify or create derivative works based on the Services
• Use the Services for any commercial purpose without our prior written consent

You retain ownership of any data, information, or content you input into our Services (“Your Content”). By using our Services, you grant Todelle a limited license to use Your Content solely to provide the Services to you.

You are solely responsible for the accuracy of any data you enter into our Services. Todelle is not responsible for any decisions made based on incorrect or incomplete data you provide.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

TODELLE DOES NOT WARRANT THAT: (A) THE SERVICES WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TODELLE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF TODELLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL TODELLE'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TODELLE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

You agree to defend, indemnify, and hold harmless Todelle LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.

Any dispute arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Arizona, and you consent to personal jurisdiction in such courts.

We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, Todelle, third parties, or the public.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.
